Recruiting Services Terms

1. Appointment and Acceptance

The Client appoints CD HR Solutions LLC to provide recruitment and placement services for the position identified in the applicable search brief (the “Services”).

CD HR Solutions LLC accepts the appointment and agrees to perform the Services in accordance with this Agreement.

The Services may be delivered using the CareerUSA brand.

2. Search Activation Fee and Placement Fee

In consideration of the Services performed by CD HR Solutions LLC, the Client shall pay:

• a one-time Search Activation Fee of US$500 per role to commence the search process; and
• a placement fee equal to 20% of the candidate’s annual gross salary, payable on the candidate’s joining date.

The Search Activation Fee is non-refundable and separate from the placement fee.

The Search Activation Fee is due when the Client activates the applicable search.

The placement fee is due upon receipt of the applicable invoice.

3. Definition of Placement and Fee Applicability

A “placement” occurs when the Client makes an offer of employment to a candidate introduced by CD HR Solutions LLC or through the CareerUSA recruitment service, the candidate accepts the offer, and the candidate commences employment.

The placement fee will also be payable if a candidate introduced by the Recruiter is employed by the Client within twelve (12) months of the initial introduction date, regardless of the position ultimately offered.

4. Notification of Hire

The Client must notify CD HR Solutions LLC promptly upon offering employment to any candidate introduced through the Services.

The Client must provide full details of the applicable compensation package.

5. Client Responsiveness and Cooperation

The Client agrees to provide full and timely cooperation during the recruitment process.

This includes providing, where applicable:

• information about the ideal candidate
• complete job description
• compensation details
• employee benefits
• interview availability
• hiring-process information
• timely candidate feedback
• other information reasonably necessary to conduct the search

If the Client becomes unresponsive for more than one (1) week during the search, CD HR Solutions LLC reserves the right to pause the search and request a new Search Activation Fee before the assignment is resumed.

Timely communication is necessary to maintain an effective recruitment process.

6. Effective Date

This Agreement becomes effective when an authorized representative of the Client:

1. electronically accepts these Terms; and
2. submits the applicable Search Activation Fee.

The electronic acceptance record and associated payment record may be retained as evidence of acceptance.

7. Scope of Services

CD HR Solutions LLC may provide services including:

• onboarding or briefing call with the Client
• candidate sourcing through professional networks and search methods
• candidate screening against the Client’s requirements
• interviews and assessments
• presentation of selected candidates
• coordination of Client interviews
• post-hire support

The exact search activities may vary depending on the assignment.

8. Service Duration

The Services provided under this Agreement are valid for thirty (30) days per job beginning on the date the applicable search is activated.

If additional time or a materially revised search is required, CD HR Solutions LLC and the Client may agree on appropriate next steps.

9. Replacement Guarantee

If a candidate placed through the Services resigns or is terminated from employment within twelve (12) months of the candidate’s start date, CD HR Solutions LLC will endeavor to provide one replacement search without an additional placement fee, provided that:

• the original invoice was paid by the applicable due date;
• the Client notifies CD HR Solutions LLC within seven (7) days of the candidate’s employment ending; and
• the replacement search is for the same role and substantially the same requirements as the original assignment.

The replacement guarantee applies once per position only.

The replacement guarantee is a replacement search and not a cash refund.

10. Confidentiality

CD HR Solutions LLC will respect the confidentiality of information provided by the Client.

The Client acknowledges that candidate confidentiality is also important.

The Client agrees to keep candidate information confidential and not disclose candidate information to third parties except where reasonably necessary for the Client’s internal hiring process or where appropriate authorization exists.

Candidate information must be handled responsibly and in accordance with applicable privacy and data-protection requirements.

11. Limitation of Liability

To the extent permitted by applicable law, CD HR Solutions LLC shall not be held liable for misrepresentation, misstatement, loss, damage, costs, or expenses incurred by the Client in connection with the introduction, evaluation, consideration, or employment of a candidate.

CD HR Solutions LLC provides recruitment and candidate-evaluation services but does not guarantee a candidate’s future performance.

12. Compliance with Laws

Both parties shall perform their obligations under this Agreement in compliance with applicable laws, regulations, and statutes, including those relating to employment, privacy, and data protection.

13. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles.

Any dispute arising under or in connection with this Agreement shall be subject to the jurisdiction of the courts located in Delaware, United States of America.

14. Entire Agreement

These Terms, together with the applicable search brief and any expressly agreed written commercial terms, constitute the agreement between CD HR Solutions LLC and the Client relating to the applicable recruitment assignment.

They supersede prior communications concerning the same subject matter.

Any amendment must be agreed in writing by an authorized representative of CD HR Solutions LLC.

15. Electronic Acceptance

The Client agrees that this Agreement may be entered into electronically.

By:

1. selecting the checkbox stating that the Client has read and agrees to these Recruiting Services Terms; and
2. completing payment of the applicable Search Activation Fee,

the individual completing the transaction:

• confirms that they reviewed these Terms
• confirms that they are authorized to act on behalf of the Client
• agrees to bind the Client to this Agreement
• agrees to the use of electronic records relating to the engagement

Electronic acceptance through CareerUSA, CDHRSolutions.com, Stripe Checkout, or another approved CD HR Solutions LLC onboarding process may be used to document execution of this Agreement.

CD HR Solutions LLC may retain records including:

• Client company name
• representative name
• representative email
• role/search title
• search reference
• date and time of acceptance
• Agreement version
• Stripe or other payment reference
• payment status

No handwritten signature is required through this online acceptance workflow.

16. CareerUSA Brand

CareerUSA is a recruitment brand and service operated by CD HR Solutions LLC.

The use of the CareerUSA name, logo, website, onboarding process, proposal materials, or communications does not create a separate contracting entity.

Unless another written agreement expressly states otherwise, the legal service provider and contracting party is CD HR Solutions LLC.

17. Privacy

Personal information processed in connection with the Services is also subject to the CD HR Solutions LLC Privacy Policy.

Where CareerUSA has a separate privacy page, it may also reference CD HR Solutions LLC as the operator of the CareerUSA service.
